Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Outgate AI platform, including the console at console.dev.outgate.ai, the API gateway, and all related services (collectively, the "Service"), operated by Gatewise UG (haftungsbeschränkt) ("Operator", "we", "us", "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Service Description
Outgate AI is an AI gateway platform that provides request routing, rate limiting, provider management, guardrail enforcement, and analytics for artificial intelligence API integrations. The Service is provided on an "as is" and "as available" basis.
2. Eligibility and Account Registration
- You must be at least 16 years old and have the legal capacity to enter into these Terms.
- You must provide accurate and complete registration information. You are responsible for maintaining the accuracy of this information.
- You are solely responsible for maintaining the confidentiality of your account credentials, including passwords, API keys, and access tokens.
- You are responsible for all activity that occurs under your account, whether or not authorized by you.
- You must notify us immediately at support@outgate.ai if you become aware of any unauthorized use of your account.
- One natural person may maintain only one account. Shared accounts are not permitted.
3. Acceptable Use
You agree NOT to use the Service to:
- Violate any applicable law, regulation, or third-party right, including but not limited to EU and German law
- Generate, transmit, store, or facilitate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Generate content that promotes violence, discrimination, terrorism, or exploitation of minors
- Circumvent, disable, or interfere with any rate limiting, usage quotas, security features, or access controls of the Service
- Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Use the Service for automated scraping, data mining, or systematic extraction of data beyond authorized API usage
- Resell, sublicense, redistribute, or make the Service available to third parties without our prior written consent
- Use the Service to develop a competing product or service
- Transmit any viruses, worms, malware, or other harmful code through the Service
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
- Use the Service to send unsolicited communications (spam) or for phishing purposes
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein
- Use AI models through the Service to generate content that violates the usage policies of the underlying AI provider (e.g., OpenAI, Anthropic, Google)
We reserve the right to investigate any suspected violation and to take appropriate action, including suspension or termination of your account, without prior notice.
4. API Usage and Rate Limits
- API usage is subject to rate limits and quotas as defined by your subscription plan.
- You must not attempt to circumvent rate limits through any means, including but not limited to creating multiple accounts, rotating API keys, or using distributed systems to exceed quota boundaries.
- We reserve the right to throttle or suspend API access if usage patterns indicate abuse or pose a risk to platform stability.
- The Service routes requests to third-party AI providers. We are not responsible for the content, accuracy, availability, or policies of those providers.
- You are solely responsible for compliance with the terms of service and acceptable use policies of any AI provider accessed through the Service.
5. Subscription and Payment
- The Service offers free and paid subscription plans. Plan features and pricing are as displayed on the billing page at the time of purchase.
- All payments are processed by Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's terms of service.
- Paid subscriptions are billed monthly in advance and automatically renew unless canceled.
- You may cancel your subscription at any time through the customer portal. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing period.
- We reserve the right to change pricing with 30 days' prior notice. Continued use after the effective date constitutes acceptance of the new pricing.
- If payment fails, your account will enter a grace period. If payment is not resolved within 7 days, your account will be downgraded to the Free plan and access to paid features will be restricted.
- All prices are in Euros (EUR) and are exclusive of applicable taxes unless stated otherwise.
6. Intellectual Property
- The Service, including its software, design, logos, documentation, and all related intellectual property, is and remains the exclusive property of the Operator.
- These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
- You retain ownership of all data you submit to or through the Service ("Your Data"). You grant us a limited license to process Your Data solely as necessary to provide the Service.
- "Outgate", "Outgate AI", and associated logos are trademarks of the Operator. You may not use them without prior written consent.
7. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory.
- We expressly disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
- We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- We do not warrant the accuracy, completeness, or reliability of any content generated by AI models accessed through the Service.
- We do not warrant the availability, performance, or compatibility of third-party AI providers accessed through the Service.
- Any reliance you place on the Service or its output is strictly at your own risk.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- The Operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, business interruption, or loss of goodwill, arising out of or in connection with the use of or inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
- The Operator's total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or EUR 100, whichever is greater.
- German Law Carve-Out (mandatory under § 309 Nr. 7 BGB): The above limitations do not apply to liability for (a) damages resulting from injury to life, body, or health caused by a negligent or intentional breach of duty by the Operator (Verletzung von Leben, Körper oder Gesundheit); (b) damages caused by intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit) of the Operator; (c) liability under the German Product Liability Act (Produkthaftungsgesetz); or (d) any other liability that cannot be excluded or limited under mandatory German law.
- For breaches of essential contractual obligations (Kardinalpflichten) caused by ordinary negligence, liability is limited to foreseeable, contract-typical damages.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Operator and his affiliates, agents, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service or any activity under your account
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights
- Content generated through your use of AI models via the Service
- Any claims by third parties arising from your use of the Service
10. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).
11. Termination
- You may terminate your account at any time by contacting us or deleting your account through the Service.
- We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, suspected fraudulent activity, extended periods of inactivity, or at our sole discretion.
- Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy and applicable retention requirements.
- Sections 6, 7, 8, 9, 13, and 14 survive termination of these Terms.
12. Third-Party Services
The Service integrates with and relies on third-party services, including but not limited to AWS, Stripe, Google, and various AI model providers. We are not responsible for:
- The availability, uptime, or performance of third-party services
- Changes to third-party APIs, pricing, or terms of service
- Data processing by third-party services beyond our control
- Any loss or damage resulting from the unavailability or malfunction of third-party services
13. Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Berlin, Germany, to the extent permitted by law.
- If you are a consumer within the meaning of § 13 BGB, mandatory consumer protection provisions of your country of residence shall apply to the extent they provide greater protection.
14. Force Majeure
The Operator shall not be liable for any failure or delay in performing obligations under these Terms caused by events beyond reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, cyberattacks, or failures of third-party services.
15. Modifications to Terms
- We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or email with at least 14 days' notice.
- Your continued use of the Service after the effective date of modified Terms constitutes acceptance of the changes.
- If you do not agree to modified Terms, you must stop using the Service and may terminate your account.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Operator regarding the use of the Service and supersede all prior agreements, understandings, and communications.
